Cottonwood Communities Raises $1.73M in Preferred Sales, Relocates Headquarters

Cottonwood Communities, Inc. sold 175,129 shares of its Series 2025 Preferred Stock between July 15 and August 2, 2026, generating gross proceeds of approximately $1.73 million, and separately reported that it has relocated its principal executive offices.
A New Base in Millcreek
The Utah-based multifamily owner has moved its headquarters to Millcreek, Utah, from Salt Lake City. It is the first address change the company has reported alongside its periodic preferred stock sales disclosures this year.
Round Economics
Selling commissions of $82,737 and placement fees of $51,604 were paid in connection with the round. Series 2025 shares outstanding reached 12,231,353 as of August 2.
Summer Pace Holds Steady
The result keeps the program on the pace it has held through the summer. Recent windows have produced:
- Late April to mid-May: approximately $2.54 million
- Early to mid-June: approximately $2.08 million
- June 22 to July 14: approximately $1.69 million
- July 15 to August 2: approximately $1.73 million
Reporting periods have run contiguously since June, with no gaps between windows.
Offering Terms
The Series 2025 Private Offering launched in December 2024 with a $150 million maximum. Shares carry a $10.00 stated purchase price, with discounts extended to certain purchaser categories, and the placement is limited to accredited investors under a Rule 506(b) exemption that precludes general solicitation.
Parallel Preferred Programs
The program continues to run in parallel with Cottonwood’s separate Series A Convertible Preferred Stock placement, which drew close to $1.85 million in early April 2026. Maintaining concurrent preferred series aimed at accredited investors is a familiar approach among non-traded REITs seeking incremental equity on a continuous basis, and the cumulative sales reported across these windows suggest the Series 2025 vehicle remains a meaningful funding channel for the company.
