Venu Holding Corporation Raises $75 Million In Public Stock Offering
The live entertainment company plans to channel the capital into new venue developments in Oklahoma and Texas along with a recent Colorado property acquisition.

Venu Holding Corporation, the Colorado Springs-based developer and operator of upscale live music venues, announced on March 10, 2026, that it has completed an underwritten public offering that generated $75 million in gross proceeds.
The company sold 18,750,000 shares of common stock — or pre-funded warrants as an alternative — at a price of $4.00 per share. Each share or pre-funded warrant also came with an accompanying warrant allowing the holder to purchase one additional share of common stock at $5.00, with a five-year expiration window. The underwriters were also granted a 45-day option to purchase up to 2,812,500 additional shares and warrants to cover potential over-allotments.
Where the Money Is Going
The net proceeds are earmarked for several strategic initiatives. A significant portion will fund the development of two new Sunset-branded venues — The Sunset McKinney in Texas and The Sunset Broken Arrow in Oklahoma — extending the company’s geographic reach. The company also plans to repay a $4.35 million promissory note connected to its recent acquisition of a property in Centennial, Colorado, where it intends to develop an indoor music hall and restaurant. Remaining funds will support working capital and general corporate operations.
ThinkEquity served as the sole book-runner for the transaction. The offering was conducted under a registration statement on Form S-3 that became effective with the Securities and Exchange Commission in December 2025.
A Growing Entertainment Portfolio
Venu Holding Corporation, which trades on the NYSE American exchange under the ticker VENU, was founded by entrepreneur J.W. Roth. The company has assembled a portfolio of premium entertainment brands including Ford Amphitheater, Sunset Amphitheaters, Phil Long Music Hall, Bourbon Brothers Smokehouse and Tavern, and several other hospitality concepts. It currently operates venues across Colorado, Georgia, Oklahoma, and Texas, with plans for a broader nationwide expansion underway.
