CIM Real Estate Finance Trust Manager Receives Shares As RSUs Vest
The external manager’s equity award settled half in stock and half in cash, with nearly 2.9 million additional units set to vest through 2028.

CIM Real Estate Finance Management LLC, the external manager of CIM Real Estate Finance Trust Inc., received 358,041 shares of the company’s common stock on April 15, 2026, following the vesting of restricted stock units originally granted under the issuer’s 2024 Manager Equity Incentive Plan.
The transaction was disclosed in a securities ownership change report signed by Richard S. Ressler, who serves as CEO, president, and a director of CIM Real Estate Finance Trust. Ressler may be deemed a beneficial owner of the shares held by the Manager due to his positions with CIM Group LLC, the entity that ultimately owns and controls the Manager through its subsidiary CCO Group LLC. Ressler has disclaimed beneficial ownership of the securities except to the extent of his indirect pecuniary interest.
Vesting Details and Share Distribution
The vesting involved 716,083 restricted stock units that were originally granted to the Manager on April 14, 2025. Each vested unit settled 50 percent in common stock and 50 percent in the cash equivalent, resulting in the issuance of 358,041 shares. On the same date, the Manager distributed an equal number of shares to certain employees and affiliated persons at no cost.
Following the transactions, the Manager directly held 20,000 shares of common stock. Ressler also holds indirect beneficial ownership of additional shares through two other CIM Group-controlled entities: approximately 911,141 shares through CIM CMFT MLP LLC and roughly 341,363 shares through CIM Real Estate Finance Holdings LLC.
Remaining Equity Compensation Pipeline
A substantial equity compensation pipeline remains outstanding. The Manager holds approximately 2.88 million unvested restricted stock units across three separate grants:
- January 2024 grant: Approximately 740,623 units scheduled to vest in December 2026.
- July 2024 grant: Approximately 709,600 units vesting in equal annual installments in June 2026 and June 2027.
- April 2025 grant: Approximately 1.43 million units vesting in equal installments in April 2027 and April 2028, contingent on the Manager’s continued service as the company’s external manager.
All future vestings will follow the same 50-50 stock-and-cash settlement structure.
