EQT to Buy Stockbridge for $375 Million, Adding $16.5 Billion U.S. Real Estate Manager
EQT plans to market Stockbridge’s top-ranked open-ended core fund in Europe and Asia, though it expects the deal to lower its real estate unit’s blended fee rate and margin.
October 19, 2026

EQT AB has agreed to acquire Stockbridge, a San Francisco-based real estate investment manager with approximately $16.5 billion in fee-generating assets under management, in a deal that folds Stockbridge's diversified, industrial and alternative living strategies into EQT Real Estate.
EQT will pay base consideration of $375 million on a cash- and debt-free basis, funded from its own balance sheet. Up to $175 million more may become payable between 2027 and 2030 if Stockbridge meets performance targets tied to raising fee-paying commitments in new products. The transaction is expected to close in the first quarter of 2027, subject to customary conditions that include investor consents.
Stockbridge's senior management has committed to reinvest half of its cash proceeds in EQT AB ordinary shares, to be bought in the market after closing. Those shares carry lock-ups that expire in stages across 2029, 2030 and 2031, and any earnout payments come with a similar obligation to reinvest a portion in EQT AB stock.
What EQT Is Buying
Founded in 2003, Stockbridge has about 185 professionals across six U.S. offices, roughly 180 institutional clients and approximately $27 billion in gross asset value. It invests across the risk spectrum, from open-ended core to value-add, through commingled funds, separate accounts and joint ventures, on behalf of U.S. and foreign institutions, family offices and high-net-worth individuals.
EQT will acquire 100% of the Stockbridge management company and the general partner entities that control interests in the Stockbridge funds. It will also have the right to invest in 35% of the carried interest in all future Stockbridge funds, which EQT said is consistent with its existing policies.
EQT pointed to three areas where Stockbridge adds to its real estate business:
- Open-ended core. Stockbridge's open-ended core fund ranks in the top 5% of its peer group over one-, three- and five-year periods, measured against the NCREIF ODCE index as of the first quarter of 2026. EQT plans to make it a flagship diversified core strategy and scale it through its global client platform, with particular emphasis on distribution in Europe and Asia.
- Industrial and industrial outdoor storage. Stockbridge's industrial business will be combined with EQT Real Estate's existing industrial platform, adding exposure to subsectors such as industrial outdoor storage.
- Alternative living. Stockbridge's track record in manufactured housing is intended to serve as the base for a broader alternative living franchise that could extend over time into senior and student housing.
Leadership and Structure
Stockbridge's diversified and alternative strategies will run as a dedicated business line within EQT Real Estate, and EQT said existing leadership, investment teams and decision-making processes will largely stay in place.
Stockbridge CEO Terry Fancher will become vice chair of EQT Real Estate, reporting to Henry Steinberg, EQT's global head of real estate. Stockbridge CFO Kristin Renaudin will become global CFO of EQT Real Estate, and Tuba Malinowski, an executive managing director at Stockbridge, will become head of U.S. diversified real estate.
The Stockbridge name will give way to the EQT Real Estate brand at closing, but existing funds will keep their current names.
The Economics
EQT expects Stockbridge to contribute approximately $35 million to $45 million of fee-related EBITDA in 2027, at a margin of roughly 30% to 35%, with fee-related EBITDA projected to grow 15% to 20% a year as the business scales.
EQT also disclosed a trade-off. Because Stockbridge is weighted toward core and asset-value-based strategies that carry lower headline fee rates, the firm said the added growth will come at a lower blended fee rate and margin than EQT Real Estate generates today, improving over time as fund-based strategies scale.
The deal extends a period of expansion for EQT Real Estate, which the firm said has more than doubled in size since 2021. EQT AB reported EUR 341 billion in total assets under management, including EUR 186 billion in fee-generating assets, as of June 30, 2026.
