Fidelity Private Credit Fund Declares May Distributions
The direct-lending vehicle’s portfolio held steady at $2.5 billion even as per-share value edged lower from the prior quarter.

Fidelity Private Credit Fund announced its May distributions, an updated net asset value, and the latest tally of its continuous share offering, in disclosures dated May 28, 2026. The Boston-based business development company, managed by an affiliate of Fidelity, reported total net assets of approximately $1.4 billion as of April 30, 2026.
Monthly and Supplemental Distributions
The Fund declared a regular monthly distribution of $0.1750 per share across each of its three share classes. After stockholder servicing fees, the net amounts were:
- Class I — $0.1750 (no servicing fee)
- Class S — $0.1574 (after a $0.0176 servicing fee)
- Class D — $0.1698 (after a $0.0052 servicing fee)
Separately, the Fund declared a variable supplemental distribution of $0.0160 per share for all classes. Both distributions go to shareholders of record as of the opening of business on May 29, 2026, and are scheduled for payment on or about June 30, 2026. Shareholders may take the payments in cash or reinvest them through the Fund’s distribution reinvestment plan.
Net Asset Value and Leverage
As of April 30, 2026, net asset value per share stood at $24.91 for Class I and Class D shares and $24.89 for Class S shares. These figures represent a modest decline from the $24.95 and $24.93 levels reported for the period ended March 31, 2026.
The Fund reported an investment portfolio valued at approximately $2.5 billion, principal debt outstanding of roughly $1.2 billion, and a resulting debt-to-equity ratio of about 0.89 times. That leverage level is roughly consistent with the position the Fund described at the close of the first quarter.
Offering Status
The Fund continues its continuous public offering of up to $4.0 billion in shares, supplemented by a private offering. Through the May 1, 2026 subscription date, the combined offerings had issued approximately 54.9 million shares for total consideration of $1.4 billion. Class I shares dominated, accounting for roughly 54.5 million shares and about $1.39 billion in the public offering, with an additional 301,227 Class I shares raising $7.6 million in the private offering. The Fund indicated it intends to keep selling shares on a monthly basis.
