Greenbacker Sets Nov. 23 Vote on MN8 Merger, With Unelected Shares Defaulting to MN8 Units
Cash elections are capped by a formula that starts at $125 million, and holders taking MN8 common units will be bound by lock-up provisions in a company whose units have no public trading market.
October 23, 2026

Greenbacker Renewable Energy Company LLC shareholders have until November 23, 2026 to vote on the company's proposed merger with MN8 Energy and to choose how they will be paid for their shares. Any shareholder whose election is not received by the deadline will be treated as having elected to take MN8 common units for every share. Greenbacker laid out the timetable on an October 22 webcast for financial advisors whose clients hold its shares, and the company now expects the deal to close on December 1, 2026.
The call came two days after MN8's registration statement for the transaction was declared effective and Greenbacker filed its definitive proxy statement/prospectus, both on October 20. The record date for the vote was October 7. Under the merger agreement dated July 21, 2026, a subsidiary of MN8 Energy LLC will merge into Greenbacker, which will survive as a wholly owned subsidiary of MN8 Energy LLC. When the deal was announced in July, Greenbacker put its equity value at approximately $350 million payable at closing. Chief Financial Officer Carl Weatherley-White presented with Brandon Praznik, executive vice president and head of business development, and Amy Socha, head of investment services.
Key Dates
Voting closes at 1:00 p.m. ET on November 23 at Greenbacker's virtual annual meeting. The election deadline is 5:00 p.m. ET the same day, and elections must be in the paying agent's hands by then; a postmark does not count. Greenbacker said dates other than the record date and the effectiveness date are expectations as of October 22 and could change, and that any change to the meeting date or the election deadline will be publicly announced.
Email delivery of proxy materials began October 22, with printed packages expected to start arriving the week of October 26. Election materials go out in a separate distribution expected to begin October 23, by email first and physical mail after.
Two Separate Actions
Voting and electing run on separate tracks with separate credentials. Computershare serves as proxy agent and tabulator, with Innisfree M&A Incorporated as proxy solicitor. Election forms go to Computershare Trust Company, N.A., as paying agent, with Georgeson LLC as information agent. The proxy card does not include the consideration election, and election materials are not on the proxy voting website. Election materials sent to Greenbacker, MN8, the merger subsidiary, the securityholders' representative or Georgeson will not be forwarded to the paying agent.
A shareholder with more than one account receives separate credentials for each, and each account votes separately and may need its own election form. Firms with authority to vote client accounts can submit a single set of firm-level instructions covering multiple accounts through an authorization and instruction letter prepared by Computershare.
The Ballot
The Greenbacker board unanimously recommends a vote for each of the five proposals:
- Election of seven directors, which keeps a board in place if the merger is not completed.
- An advisory vote on 2025 executive compensation.
- Adoption of the merger agreement.
- An advisory vote on merger-related compensation for Greenbacker's named executive officers.
- An amendment to the definition of Roll-Up Transaction in Section 2.2 of Greenbacker's Fifth Operating Agreement, making clear that the merger does not fall under that definition.
Approval of both the merger agreement proposal and the charter amendment proposal is a condition to closing. Each requires the affirmative vote of a majority of the voting power of shares outstanding as of the record date, so abstentions and unvoted shares count the same as votes against. A signed proxy card returned without instructions is voted for every proposal. The presentation also notes that certain Greenbacker directors and executive officers have interests in the merger that may differ from those of shareholders generally.
The Consideration Election
Each account makes one election covering all of its shares:
- Equity Election: 100% MN8 common units.
- Cash Election: 100% cash, subject to the Maximum Cash Election Amount and proration.
- Mixed Election: 50% cash and 50% MN8 common units, with the cash portion subject to the same cap and proration.
A shareholder is deemed to have made an Equity Election if the election form is not properly completed, is not received by the deadline, or if a prior election is revoked without a new one. Elections can be changed or revoked before the deadline. Neither Greenbacker nor MN8 is recommending a form of consideration.
The Maximum Cash Election Amount equals $125 million, reduced by a $5 million reserve amount, a $25 million additional consideration holdback amount and 28.5% of Greenbacker's closing transaction expenses, then increased by any amount paid at closing in respect of the closing additional consideration amount. If cash elections exceed the cap, cash-electing holders receive cash pro rata and the balance in MN8 common units. No shareholder is guaranteed the amount of cash elected.
Every former Greenbacker shareholder shares pro rata in any contingent consideration that becomes payable, regardless of election. That consists of the representative reserve release amount and the post-closing additional consideration amount. The risk factors include the possibility that milestones tied to the additional consideration are not met, in which case shareholders may receive none of the holdback.
Elections can be submitted through the paying agent's website or by mail or courier. Shareholders holding through a custodian or other intermediary must follow that firm's instructions, and intermediaries may set deadlines earlier than November 23. U.S. holders must provide an IRS Form W-9 unless one is already on file, and non-U.S. holders the applicable Form W-8; holders who do not may face backup withholding at 24% under current law. Paying or delivering consideration to a different name or address requires an original Medallion Signature Guarantee, and notary stamps are not accepted. The letter of transmittal includes representations and warranties, a release of claims and a power of attorney in favor of MN8 Energy Holdings LLC. Holders receiving units also agree to the A&R Holdings LLC Agreement, including its lock-up provisions.
After Closing
At the effective time, each outstanding Greenbacker share other than canceled shares converts into the right to receive the applicable consideration. The paying agent is expected to send cash within five business days after closing, subject to receipt of required documentation, and cash for custodial positions may go directly to the custodian. MN8 will issue units under procedures it will communicate after closing. No fractional units will be issued; each holder's units are aggregated and rounded to the nearest whole unit. The exchange is expected to be taxable for U.S. federal income tax purposes.
The presentation's risk factors include the lack of a public trading market for MN8 common units, uncertainty about their value, and the possibility that MN8 does not complete an initial public offering or other liquidity event. Closing also depends on remaining regulatory approvals and the required consents of MN8's members, and the merger agreement can require Greenbacker to pay a termination fee in certain circumstances. If the merger is not approved or completed, Greenbacker shares are not converted and no cash or units are paid, regardless of any election submitted.
