HPS Corporate Lending Fund Delays New $15 Billion Share Registration for a Ninth Time
Its existing $15.0 billion offering had already taken in $14.27 billion through early September.

HPS Corporate Lending Fund has pushed back, for a ninth time, the date on which its registration of additional shares is set to take effect. An amendment dated October 8, 2026, one day before the previously designated October 9 effective date, moves that date to November 6, 2026.
The fund, a non-traded business development company, first filed the registration statement on December 30, 2025, solely to register additional shares. Every amendment since has done one thing: extend the effective date, roughly a month at a time. The latest amendment, like the eight before it, gives no reason for the extension.
- Previously designated dates, in order: March 26, April 25, May 25, June 22, July 20, August 17, September 14 and October 9, 2026
- New designated date: November 6, 2026
What the registration would add
The registration statement, which the amendment incorporates by reference, would register an additional $15.0 billion of common shares. It would also carry forward about $2.0 billion of shares that were unsold, as of the December filing, under the fund's 2024 registration. The aggregate offering price under the new registration is capped at $17.0 billion, and once it takes effect the fund will have registered a total of $30.0 billion of common shares.
Where the current offering stands
The extensions come as the fund's existing continuous offering moves closer to its limit. In its most recent monthly update, the fund reported that through the September 1, 2026 subscription date it had issued 568,445,779 common shares for total consideration of $14,273.9 million against an offering of up to $15.0 billion. A month earlier, it had reported $14,167.7 million raised through the August 1 subscription date. The fund has said it intends to keep selling shares in the offering monthly.
The October amendment was signed by Michael Patterson, the fund's chairperson, chief executive officer and trustee, and by Robert Busch, chief financial officer and principal accounting officer.
