Jefferies Credit Partners BDC Raises $106.5 Million in September Private Share Sale
The September total far exceeds anything the non-traded BDC raised in its June, July or August placements, while its per-share NAV stayed close to $14.30.
October 2, 2026

Jefferies Credit Partners BDC Inc. sold $106,456,146 of unregistered Class I common stock to third-party investors as of September 1, 2026. That is a much larger raise than any of the monthly private placements the business development company reported over the summer.
The company issued 7,437,022.719 Class I shares at its net asset value of $14.31435 per share as of August 31, and fixed the final share count on September 25. As with its earlier rounds, the shares were sold without registration under Section 4(a)(2) of the Securities Act, Regulation D and/or Regulation S.
A Break From the Summer Pace
The September sale stands well apart from the company's recent monthly placements:
- June 1: $8,033,219 in Class I shares.
- June 30: $25 million in Class I shares, sold to a single third-party investor.
- July 1: $11,373,262 in Class I shares and $350,000 in Class S shares.
- August 3: $11,546,389 in Class I shares and $100,000 in Class S shares.
Before that, a May 1 placement raised about $8.94 million at the company's April 30 net asset value.
The September report lists only Class I shares, with no Class S issuance for the month. The company identified the buyers only as third-party investors and did not break the subscription down by investor.
Steady Pricing
The Class I NAV per share used to price the sales has moved within a narrow band. It went from $14.33254 at the end of May to $14.30306 at the end of July, then rose to $14.31435 at the end of August. Because each round is priced off the prior month-end NAV, incoming capital has been entering at close to the same value for several months.
Jefferies Credit Partners BDC is a Maryland corporation based in New York. Its shares are not listed on an exchange and carry no trading symbol, and it continues to report as an emerging growth company. Chief Financial Officer Ryan Schindele signed the report.
