KKR FS Income Trust Completes August Share Sale, Continues $5B Capital Drive

KKR FS Income Trust brought in $55.59 million in new capital on August 1, 2025, issuing nearly 1.87 million Class I shares as part of its ongoing private offering. The transaction was finalized on August 21, following subscription agreements with accredited investors.

The offering is part of a larger fundraising initiative that aims to raise up to $5.0 billion through monthly sales. KKR FS Income Trust is using an exemption under the Securities Act that allows it to operate outside of public registration, streamlining the process for both the firm and participating investors. All investors confirmed their accredited status through their subscription agreements.

As of July 31, the Class I shares were priced at a net asset value of $29.75, based on the company’s internal valuation policy. That valuation set the stage for the August issuance, bringing the firm’s total net asset value to approximately $1.21 billion.

To date, the firm has issued more than 42.15 million Class I shares through this private placement, raising around $1.23 billion in total. This figure reflects new investments and does not include shares distributed through any reinvestment programs.

KKR FS Income Trust plans to maintain its monthly cadence of offerings. By structuring the capital raise this way, the firm gives institutional investors access to new shares while continuing to build long-term momentum toward its $5 billion goal.
