MSD Investment Corp. Draws $150 Million in New Equity From Committed Stockholders
Stockholders funded the call under subscription agreements that let the company draw committed capital with as little as ten business days’ notice.
October 23, 2026

MSD Investment Corp. has sold 6,334,459 shares of common stock to its stockholders for an aggregate offering price of approximately $150 million, the company disclosed on October 21.
The shares came from a capital drawdown. MSD delivered the drawdown notice on September 30 and issued the shares on October 15, but the final share count was not set until October 19. The disclosure does not state the price per share or explain how the final count was determined.
How the Drawdown Works
Under the company's subscription agreements, stockholders commit capital up front and must buy common stock, up to the amount of their individual commitments, whenever MSD calls for it. The company draws on those commitments as needed, in stages, and must give stockholders at least ten business days' notice before each drawdown.
The disclosure does not state the total amount of capital stockholders have committed, how much has been called to date, or how much remains available for future drawdowns. It also does not say how the new capital will be deployed.
The shares were issued in a private placement exempt from registration under Section 4(a)(2) of the Securities Act and Regulation D. MSD relied on representations from its stockholders that each is an accredited investor under Rule 501(a) of Regulation D.
Recent Financing Activity
The equity raise follows a run of debt financing at the company this year. In June, MSD priced $300 million of 6.375% senior notes due 2029. In July, it raised lender commitments on its senior secured bank facility to $920.0 million. On October 15, the same day the new shares were issued, it closed a $350 million offering of 6.875% notes due 2029.
