Stone Point Credit Income Fund raised nearly $40 million in its latest capital call, issuing 1,617,083.455 common shares on September 30 and October 2 at a net asset value of $24.7338 per share. The aggregate offering price was $39,996,618.77.
A second, smaller sale followed under the same subscription agreements. On October 2 the fund issued an additional 47,707.995 common shares at the same net asset value for $1,180,000, with the final share count set on October 20.
Commitments and Unfunded Capital
Since launch, the Greenwich, Connecticut-based credit fund has gathered $1,188,086,300 in capital commitments, of which $736,467,272 remains unfunded. At the time of the fund's July capital call, which issued 167,749.797 shares at $24.62 per share for an aggregate $4.13 million, unfunded commitments stood at $776.75 million out of roughly $1.17 billion committed at that point.
The fund raises money on a drawdown basis. Investors sign subscription agreements committing a set amount of capital, and the fund calls that capital as needed, up to each investor's commitment, with at least five business days' notice before each funding date. The unfunded balance is capital the fund can still call from existing investors without opening a new round of fundraising.
Private Placement Terms
The shares were sold privately to accredited investors under Section 4(a)(2) of the Securities Act and Rule 506 of Regulation D, with Regulation S, which covers sales made outside the United States, also cited as an exemption. The fund said it did not engage in general solicitation or advertising and made no public offering in connection with the sales. It relied in part on representations in the subscription agreements that each investor qualifies as an accredited investor under Regulation D.
The fund's common shares are not listed on any exchange, and it reports as an emerging growth company.
