KKR FS Income Trust Raises $81 Million In June Share Sale
Net assets climbed to roughly $1.6 billion as cumulative private offering proceeds neared $1.75 billion.

KKR FS Income Trust disclosed that it issued and sold approximately 2.79 million Class I common shares on June 1, 2026, generating roughly $81.276 million in aggregate consideration. The final share count was determined on June 18, 2026, following the completion of subscription agreements with participating investors.
Continuous Private Offering
The transaction was carried out as part of the trust’s ongoing continuous private offering, which is authorized to raise up to $5.0 billion in total. The offering relies on exemptions from public registration requirements under federal securities law, with each participating investor confirming accredited investor status under Regulation D.
With the latest issuance, the trust has now sold a cumulative total of approximately 59.49 million Class I shares since the private offering began, generating total consideration of roughly $1.748 billion. Those figures exclude any shares issued through the company’s distribution reinvestment plan. The trust intends to continue selling shares on a monthly basis.
Net Asset Value Update
The company also reported that its net asset value per Class I share stood at $29.18 as of May 31, 2026. On that same date, aggregate net assets across the trust totaled approximately $1.589 billion.

KKR FS Income Trust is a Delaware-incorporated entity headquartered in Philadelphia and is classified as an emerging growth company. The same trust has been a regular issuer of monthly distributions, having most recently maintained its $0.225 monthly dividend for April. It operates alongside its sibling vehicle, KKR FS Income Trust Select, which recently topped $1 billion in cumulative share sales, within KKR’s broader platform of income-focused investment products.
