Apollo Debt Solutions BDC Issues $750 Million of Notes Due 2033
The business development company placed the senior notes privately with institutional buyers and expects to direct proceeds toward general purposes and repaying its credit facility.

Apollo Debt Solutions BDC has added $750 million in fresh long-term debt capital to its balance sheet through a newly issued series of senior notes, according to a prospectus supplement dated July 17, 2026.
The company issued the notes on June 30, 2026, carrying a fixed coupon of 6.350% and maturing on June 30, 2033. The issuance was completed under the company’s base indenture with U.S. Bank Trust Company, National Association, originally dated March 2024, together with a seventh supplemental indenture executed the same day as the note issuance.
Rather than registering the offering, the company placed the notes privately, selling to buyers reasonably believed to be qualified institutional buyers under Rule 144A and to non-U.S. investors outside the United States under Regulation S.
Redemption and Use of Proceeds
The notes may be redeemed at the company’s option, in whole or in part, at any time at par value. Any redemption occurring before April 30, 2033 would also require payment of a make-whole premium, leaving a roughly two-month window ahead of maturity during which the notes could be called at par without the additional premium.
The company anticipates deploying the net proceeds toward the following:
- General corporate purposes across itself and its subsidiaries
- Reducing outstanding debt, including borrowings under its revolving credit facility
Prospectus Housekeeping
Alongside the note disclosure, the supplement made several updates to the company’s prospectus. The company removed the Pennsylvania paragraph from the suitability standards section, and made the corresponding deletion in the subscription agreement form appended to the prospectus.
The company also expanded its shareholder reporting disclosures. Under the revised language, monthly portfolio holdings and certain other portfolio characteristics will be made available to shareholders on the company’s website, generally posted within 20 business days following each month-end and remaining accessible until the subsequent month’s data is posted. Complete holdings will continue to appear in the company’s annual and quarterly reports submitted to regulators.
