Apollo Infrastructure Shifts to Transactional NAV for Subscription and Repurchase Pricing
The methodology change lands alongside a fresh quarterly repurchase window with an August deadline and another month of steady share sales across both series.

Apollo Infrastructure Company LLC is changing how it sets the price at which investors buy and sell its shares. Effective for any net asset value struck as of a date on or after July 1, 2026, the company will price both subscriptions and repurchases using a transactional net asset value rather than the GAAP-basis figure it has used to date.
The transactional measure starts from GAAP net asset value and adjusts for some or all of three items, as applicable:
- Fee timing: recognition of shareholder servicing fees and distribution fees on a monthly basis as those fees accrue
- Deferred taxes: exclusion of certain deferred tax liabilities that GAAP requires the company to recognize but that it does not expect to incur, based on anticipated income, available deductions, and the timing of realization events
- Expense amortization: amortization of certain organizational and offering expenses across a 60-month period

The operating manager determined net asset value per share as of June 30, 2026.
Series I:
- A-II Shares: $28.71
- F-I Shares: $28.19
- E Shares: $29.20
- I Shares: $28.15
- S Shares: $28.12
Series II, higher across the board:
- A-II Shares: $29.25
- F-I Shares: $28.72
- E Shares: $29.75
- I Shares: $28.71
- S Shares: $28.67
No F-S or A-I shares were outstanding in either series as of the valuation date. Each figure sits above the April 30 marks reported in Apollo Infrastructure Company’s unregistered share sale coverage.
Repurchase Window
The company intends, without obligation, to conduct quarterly repurchases of up to 5.0% of aggregate net asset value per calendar quarter, measured collectively across both series and excluding V Shares. Repurchase prices match the June 30 per-share values.
- Request deadline: 4:00 p.m. Eastern time on August 10, 2026
- Expected payment date: August 17, 2026
Requests arriving after the deadline roll to the following window. The company retains discretion to repurchase fewer shares than requested, or none.
July Share Sales
As of July 1, 2026, with final share counts set later in the month, the company sold to third-party investors for cash:
- Series I: 267,550 A-II shares for $7,681,750; 514 E shares for $15,000; 71,518 I shares for $2,013,000
- Series II: 1,082,698 A-II shares for $31,668,050; 10,098 F-I shares for $290,000; 252 E shares for $7,500; 20,813 I shares for $597,500
The sales were exempt from registration under Section 4(a)(2), including Regulation D for accredited investors and Regulation S for non-U.S. investors outside the United States.
